EXPLANATORY NOTE

On November 17, 2022, Abraxas Petroleum Corporation (the “Company”) filed a Current Report on Form 8-K (the “Original 8-K”), which announced the appointment of Kenneth R. Cooper to the Company’s Board of Directors (the “Board”). At the time of the Original 8-K, the Board had not made a determination regarding any committee assignments for Mr. Cooper. This Amendment No. 1 on Form 8-K/A to the Original 8-K is being filed to disclose Ms. Cooper’s committee assignments. Except for the foregoing, this Amendment No. 1 does not amend any other disclosure reported in the Original 8-K.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 6, 2022, the Board appointed Mr. Cooper as a member of the Audit Committee and Compensation Committee of the Board.
