North American Palladium Completes Additional Issuance of $4.5
Million of Convertible Debentures in Connection with First Tranche
of Offering
TORONTO, ONTARIO--(Marketwired - Feb 10, 2014) -

North American Palladium Ltd. ("NAP" or the "Company")
(TSX:PDL)(NYSEMKT:PAL) is pleased to announce that it has sold an
additional $4.5 million in convertible debentures in connection
with its first tranche offering (the "First Tranche") of 7.5%
convertible unsecured subordinated debentures and associated
warrants, as disclosed by news release on January 31, 2014. As per
the Company's initial target for the First Tranche offering, the
aggregate gross proceeds are now $32 million.
The exercise of the warrants issued in the First Tranche is
subject to disinterested shareholder approval. The Company expects
to hold a shareholder meeting on March 20, 2014 in Toronto to
obtain such approval.

prospectus supplement (including an amended and restated final
prospectus supplement) with the securities regulatory authorities
in Canada, and a prospectus supplement (including an amended and
restated final prospectus supplement) and registration statement
