PART III – NARRATIVE

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

IVAX Diagnostics has delayed filing its Quarterly Report on Form 10-Q for the second quarter of 2011. IVAX Diagnostics intends to utilize the five day extension provided by filing this Notification of Late Filing on Form 12b-25 with the Securities and Exchange Commission and expects to file its Quarterly Report on Form 10-Q on or prior to August 22, 2011. This delay has occurred as a result of IVAX Diagnostics’ need to complete its analysis of, and implement, the financial accounting treatment of the two significant, previously reported financing arrangements that IVAX Diagnostics had consummated during the second quarter of 2011, namely (i) the sale and issuance to ERBA Diagnostics Mannheim GmbH of shares of IVAX Diagnostics’ common stock and warrants to purchase additional shares of IVAX Diagnostics’ common stock pursuant to that certain stock purchase agreement dated April 8, 2011 and (ii) the secured, revolving credit facility that Diamedix Corporation, a wholly-owned subsidiary of IVAX Diagnostics, established with City National Bank of Florida pursuant to that certain loan agreement dated June 10, 2011.

Based on the data currently available, IVAX Diagnostics anticipates reporting net revenues for the second quarter of 2011 of $4,375,000, a 0.4% decrease from net revenues of $4,394,000 for the second quarter of 2010, and net revenues for the six months ended June 30, 2011 of $8,509,000, a 6.0% decrease from net revenues of $9,049,000 for the six months ended June 30, 2010.  Additionally, IVAX Diagnostics anticipates reporting net loss of $767,000 for the second quarter of 2011 compared to $1,131,000 for the second quarter of 2010, and net loss of $1,788,000 for the six months ended June 30, 2011 compared to net loss of $2,269,000 for the six months ended June 30, 2010.
