SK3 Group, Inc. (PINK SHEETS: SKTO) and Healthcare of Today, Inc. jointly announce that Healthcare of Today has signed a definitive agreement to acquire ima Sleep Disorder Center, Inc. ("IMA") and Southern California X-Ray-EKG, Inc. ("SC X-Ray").

SC X-Ray, which provides mobile X-Ray and EKG diagnostic units, also does business as Interstate PDS Medical Diagnostic Services (www.Interstatepds.com). IPDS is the nation's premier provider of computer-assisted analysis of infant and pediatric diagnostic sleep studies. Its multi channel studies for thorough diagnosis of sleep apnea and related disorders allow for increased management capabilities for patients with cardiac, pulmonary, and GI system abnormalities. The company operates throughout the country with regional centers in California, Louisiana, and Massachusetts. IMA offers both adult and pediatric sleep studies, with board-certified Sleep Medicine physicians on staff to provide prompt reporting of test results and treatment recommendations within a 48 hour window.

Over 60 million people in the United States report suffering sleep-related problems; within that, 40 million have what are considered "serious" sleep problems requiring medical attention. Where there are more than 80 distinct sleep disorders, sleep studies improve doctors' ability to accurately diagnose them, laying the groundwork for a more accurate and effective course of treatment. Sleep problems are associated with increased risk of death and diminished quality of life; the majority of these disorders are treatable with medications, lifestyle modifications, or airway pressure modification, but diagnosis must come first.
