          WATERLINE GROUP PLC (the "Company") - Potential offer Update



Woburn Ventures Limited ("Woburn"), a company incorporated and wholly owned by
Michael Lawrence, Steven Steel and Tim Hutchinson (together the "Waterline
Management Team"), notes the announcement released on 8 November 2007 by the
independent members of the Waterline Board, namely Peter Dicks and David Rogers
(the "Independent Directors") that discussions with Woburn have been postponed
to allow the Company to enter into exclusive discussions with a third party with
a view to an offer being made by that third party for the entire issued and to
be issued share capital of the Company. Woburn has agreed to this postponement
in order to allow discussions with the third party to be progressed.



However, in the meantime, Woburn is considering its options with regard to a
possible offer for the Company although it would only proceed with a proposal
with the recommendation of the independent directors.





A further announcement will be made in due course.
