    Venture Production plc (the Company)


    Transfer of Shares by Venture Production Employee Benefit Trust (the Trust)

    In accordance with the rules of the Employee Annual Bonus Plan (EABP) the Company announces that it was notified on 5 January 2009 that
the Trust had transferred 77,687 ordinary shares of �0.004 pence in the Company on 5 January 2009 to participants of the EABP in respect of
the year ended 31 December 2006.

    The Company's shares held by the Trust are used to satisfy awards in the Company's Long Term Share Incentive Plans and the annual bonus
plans.

    The Executive Directors and Persons Discharging Managerial Responsibility are potential beneficiaries of the Trust and are deemed to be
interested in the shares held by the Trust. 

    Following this transaction the Trust retains an interest in 1,621,079 shares, representing 1.08% of the Company's issued ordinary share
capital.
