Vocalis Group plc (the "Company")

Substantial shareholdings

The  Company was notified on 17 June 1999 of the following transactions  
in the  Company's  ordinary shares of 5p each in the  Company  ("ordinary
shares") by the following two substantial shareholders in the  Company
on 17 June 1999:

a)  Prelude  Technology  Fund  II Limited Partnership  sold  1,200,000
ordinary   shares  at  92.5p  per  ordinary  share.   Following   this
transaction   Prelude  Technology  Fund  II  Limited  Partnership   is
interested  in  3,345,198 ordinary shares.   Dr  Robert  Hook,  a  non
executive director of the Company, is a director of Prelude Technology
II  Limited, the general partner of Prelude Technology Fund II Limited
Partnership.

b)    Providence  Investment  Company Limited  sold  750,000  ordinary
shares  at  92.5p  per  ordinary shares.  Following  this  transaction
Providence Investment Company Limited is interested 1,494,982 ordinary
shares.  Dr Herman Hauser, a non executive director of the Company, is
a   discretionary  beneficiary  of  the  Providence  Trust  of   which
Providence Investment Company Limited is a wholly owned subsidiary.
