Vocalis Group plc (the "Company")

Director's shareholding

The Company received notification on 9 June 1999 that on that day Jane
Crathern, the Company's Finance Director, exercised options to subscribe for
180,000 ordinary shares in the Company, all these options were exercised at a
price of 16.07p.

As a result, Jane Crathern is interested in a total of 320,000 ordinary shares
representing some 0.7 per cent. of the Company's issued ordinary share
capital.
