Ventus 2 VCT plc (the 'Company') - Voting Rights and Capital

In conformity with the Transparency Directive's transitional provision 6 we
would like to notify the market of the following:

The Company's capital consists of 11,173,337 ordinary shares of 25p each with
voting rights. The Company holds no ordinary shares in Treasury.

Therefore, the total number of voting rights in Ventus 2 VCT plc is 11,173,337.

The figure of 11,173,337 may be used by the shareholders as the denominator for
the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Ventus 2 VCT plc under 
the FSA's Disclosure and Transparency Rules.
