                        Result of Annual General Meeting

Ultimate Finance Group plc ("the Group") provides recourse factoring, invoice 
discounting and confidential invoice discounting.

At the Annual General Meeting held today all resolutions were unanimously passed
on a show of hands.

Commenting on the current trading performance for the Group the Chairman made
the following statement:

"I am pleased to report to shareholders that trading in the current financial
year 2005/06 to date is in line with expectations and we continue to make
extremely good progress.

Enquiries from prospective new clients have been strong and we believe that we
have a growing share of the UK invoice finance market.

Investment has continued in all areas of the business, management are planning
for the future and the board looks forward to it with confidence."
