Issue of Equity

The Company announces that on 4 April 2008 it allotted and issued 229,598 new
Ordinary Shares of 1p each at a price of 98p per share and 76,999 new C Shares
of 1p each at a price of 89p per share under the Offers for Subscription.

Following this allotment the issued share capital of the Company is 23,280,179
Ordinary Shares and 12,576,806 C Shares.

The Company does not hold any shares in treasury. The total number of voting
rights in Unicorn AIM VCT II plc is 35,856,985. This figure may be used by
shareholders as the denominator for the calculations by which they will
determine if they are required to notify their interest in, or a change to
their interest in, Unicorn AIM VCT II plc under the FSA's Disclosure and
Transparency Rules.
