Taylor Woodrow notes the announcement by Bryant of 11th January, 2001 in which
it is stated that Taylor Woodrow's proposal has been described as "final".

Taylor Woodrow is not precluded from amending the cash and share exchange
terms it indicated in its approach to Bryant, which were published by Bryant
on 11th January.  Taylor Woodrow's approach to Bryant was stated in a private
letter between the parties on 8th January, 2001 to be final on the basis of
information available at that time to Taylor Woodrow.

Another announcement is expected later today.
