                            SUBSTANTIAL SHAREHOLDING


The Company received notification on 24 March 2004 from Fraser and Neave,
Limited, a company listed on the Singaporean Stock Exchange, that as at 23 March
2004 that company was interested in 4,278,688 ordinary shares in the Company
through CPL (UK) Pte Ltd, a subsidiary of its wholly owned property investment
subsidiary Centrepoint Properties Ltd. The interest represents 7.54 per cent. of
the Company's issued share capital.
