THISTLE HOTELS PLC ("THISTLE")
RESULTS OF EXTRAORDINARY GENERAL MEETING

Thistle is pleased to announce that the resolutions in
connection with the proposed payment of a special
dividend and the related share consolidation, as appeared
in the circular dated 23 March 1999, were duly passed at
the Extraordinary General Meeting held earlier today.

Accordingly, dealings are expected to commence in the New
Ordinary Shares on 19 April 1999.

A special dividend of 17.06 pence per ordinary share will
be paid on or before 30 April 1999 to shareholders on the
register at 4.30pm on 16 April 1999.  This will result in
the company returning approximately #92.4m of cash to
shareholders.
