              Resolutions passed at extraordinary general meeting

Thistle  Hotels  Plc announces that the special resolutions  proposed  at  the
extraordinary general meeting held earlier today were duly passed.

The  resolutions related to the proposed return of capital to shareholders  by
way of a bonus issue of one B redeemable preference share ("B Share") for each
Existing  Ordinary  Share  and a 50 for 57 capital consolidation  of  Existing
Ordinary Shares of 20 pence each into New Ordinary Shares of 224/5 pence  each
and certain related matters and amendments to Thistle Hotels Plc's Articles of
Association,  details of which were circulated to shareholders on  7  October,
1998.

It  is expected that, subject to the admission of the New Ordinary Shares  and
the  B  Shares  to  the  Official List of the London Stock  Exchange  becoming
effective,  dealings  on the London Stock Exchange in  the  Existing  Ordinary
Shares  will  cease  at  the close of business on 6 November,  1998  and  that
dealings  in  the New Ordinary Shares and the B Shares will commence  at  8.30
a.m. on 9 November, 1998.

Thistle Hotels Plc intends to declare a redemption period in respect of the  B
Shares  commencing on 9 November, 1998 and closing at 4.30 p.m. on 4 December,
1998.
