Delisting Announcement 
 
 
LearnVantage plc ("LearnVantage") announced on 11 December 2009 that it had 
declared its Offer unconditional in all respects. 
 
 
On 21 December 2009 LearnVantage issued statutory notices pursuant to Sections 
204(1) of the Companies Act 1963 to those ThirdForce Shareholders who have not 
yet validly accepted the Offer notifying them of LearnVantage's intention to 
exercise its right to compulsorily acquire the ThirdForce Shares held by those 
Shareholders. 
 
 
For those ThirdForce Shareholders who have not yet accepted the Offer, they can 
still accept the Offer by completing and returning the Form of Acceptance which 
accompanied the Offer Document by 1.00 p.m. on 4 January 2010 (being the Final 
Closing Date of the Offer). The Form of Acceptance should be completed in 
accordance with the instructions set out thereon 
 
 
LearnVantage has requested that ThirdForce applies to the London Stock Exchange 
and Irish Stock Exchange for the cancellation of admission to trading of the 
ThirdForce Shares on AIM and IEX in accordance with the AIM and IEX Rules (the 
"Delisting") and accordingly, such application has been made. 
 
 
Under the AIM and IEX Rules, a notice period of not less than 20 business days 
is required prior to Delisting and this will commence on 22 December 2009. It is 
intended that Delisting will take effect on or shortly after 8.00 a.m. (London 
time) on 22 January 2010. 
 
 
Capitalised terms used in this announcement shall bear the same meaning as in 
the Offer Document, unless the context requires otherwise
