    Acquisition

    of

    TDG plc

    by

    LIT plc ("Bidco")

    (a company incorporated in the Isle of Man formed at the direction of Laxey Partners Limited)


    COMPLETION OF ACQUISITION BY BIDCO


    Further to the Company's announcement on 30 September 2008 the Court Orders sanctioning the Scheme and confirming the Capital Reduction
have been delivered to the Registrar of Companies and, in respect of the Capital Reduction, have been registered. The Scheme has now been
implemented and the entire issued ordinary share capital of TDG is owned by Bidco.
    Admission to trading of the TDG Shares on the London Stock Exchange's market for listed securities and the listing of the TDG Shares on
the Official List of the UK Listing Authority will be cancelled at 8.00 a.m. on 2 October 2008.
    TDG Shareholders on the register at the Scheme Record Time, being 6.00 p.m. on 30 September 2008, will receive either 250 pence in cash
for each Scheme Share or 200 pence in cash and 6.625 Bidco Shares under the Alternative Offer with an additional right to participate in a
Mix and Match Facility in accordance with valid elections made by them. The consideration due to shareholders is due to be sent by 15
October 2008.

Scheme Document dated 11 August 2008.
