                                Issue of equity


The Company today announces the issue of 4,250,000 1p ordinary shares at a price
of 1p pursuant to a partial exercise of share warrants that were attached to the
loan note issued by DivestCap, as announced on 27th January 2006. Under the
terms of the loan note DivestCap were entitled to a total of 17 million share
warrants (this number is subject to full anti dilution protection).


Application has been made to the UK Listing Authority for the 4,250,000 ordinary
shares to be admitted to the Official List and to the London Stock Exchange for
these shares to be admitted to trading. Theses shares will rank pari passu with
the existing ordinary shares of the Company and dealings are expected to
commence on 23rd March 2007.


Following this issue the Company's issued share capital will consist of
401,998,978 ordinary shares of 1p with voting rights and 1,687,283,244 deferred
shares of 1p to which no voting rights attach. Therefore the total number of
voting rights in the Company is 401,998,978. This is the figure shareholders may
use as the denominator for the calculations by which they will determine if they
are required to notify their interest in, or a change to their interest in,
Tadpole Technology plc under the FSA's disclosure and Transparency Rules.
