William Sinclair announces the exercise today of 65,000 options to purchase ordinary shares of 25p each of the Company ("Shares") at GBP0.514 per Share and 80,000 options to purchase Shares of GBP0.596 per Share by Peter Williams, Finance Director of the Company, together with a sale by Mr. Williams of 60,000 Shares at 170 pence per Share in order to satisfy the costs associated with the exercise of these options. The options were issued to Mr. Williams pursuant to the Company's stock option plan.

The Company also announces the exercise today of 85,000 options to purchase Shares at GBP0.514 per Share and 240,000 options to purchase Shares at GBP0.596 per Share by Bernard Burns, Chief Executive of the Company, together with a sale by Mr. Burns of 190,000 Shares at 170 pence per share in order to satisfy the costs associated with the exercise of options. The options were issued to Mr. Burns pursuant to the Company's stock option plan.

Following these transactions Mr. Williams will be interested in 115,000 Shares, representing approximately 0.68 per cent. of the Company's issued shares, and Mr. Burns will be interested in 400,000 Shares, representing approximately 2.35 per cent. of the Company's issued shares.

Application has been made to the London Stock Exchange for 470,000 new Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will become effective on 17 January 2011.

Following Admission the Company will have 17,024,046 Shares in issue with voting rights. The Company does not hold any Shares in treasury. Therefore the total number of Shares in the Company with voting rights will be 17,024,046 which may be used by shareholders to determine if they are required to notify an interest in, or a change in interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
