RESULT OF ANNUAL GENERAL MEETING and ADMISSION TO AIM

William Sinclair announces that at the Annual General Meeting of the Company
held today all the resolutions contained in the Ordinary and Special business
detailed in the Notice of General Meeting, including the delisting of the
Ordinary Shares from the Official List and admission to trading on the
Alternative Investment Market, were duly passed.

Consequently an application will be made for the cancellation of the Company's
Ordinary Shares of 25p each on the Official List of the UK Listing Authority and
the London Stock Exchange's main market for listed securities, such cancellation
is expected to take place at 8.00 am on 20 December 2006.

An application will be made for the Ordinary Shares to be admitted to trading at
the same time on the Alternative Investment Market of the London Stock Exchange.
