| The Board of REIT notes the announcement yesterday that Terra posted its |
| offer document to REIT shareholders on 3 November 2009 in respect of its |
| unsolicited, mandatory offer for the whole of the issued share capital of |
| REIT not already owned by Terra at a price of 41 pence per share in cash |
| (the "Offer"). |

| The Board of REIT, which has been advised by Hawkpoint Partners Limited, |
| continues to believe that the Offer, at a discount of 31.6 per cent. to net |
| assets per share of 60 pence as at 30 June 2009(1), substantially |
| undervalues the Company and recommends that REIT shareholders take no |
| action and reject the Offer. REIT shareholders are therefore strongly |
| advised to ignore any documents that may be issued by Terra or its |
| advisers. |

| As announced previously, an updated valuation is currently being prepared |
| for the Company by a firm of external valuers. The Board of REIT will |
| write to shareholders shortly to set out its position in further detail. |

| Dealing Disclosure Requirements |

| Under the provisions of Rule 8.3 of the Takeover Code, if any person is, or |
| becomes, "interested" (directly or indirectly) in 1% or more of any class |
| of "relevant securities" of REIT, all "dealings" in any "relevant |
| securities" of that company (including by means of an option in respect of, |
| or a derivative referenced to, any such "relevant securities") must be |
| publicly disclosed by no later than 3.30 p.m. (London time) on the London |
| business day following the date of the relevant transaction. This |
| requirement will continue until the date on which the offer becomes, or is |
| declared, unconditional as to acceptances, lapses or is otherwise withdrawn |
| or on which the "offer period" otherwise ends. If two or more persons act |
| together pursuant to an agreement or understanding, whether formal or |
| informal, to acquire an "interest" in "relevant securities" of REIT, they |
| will be deemed to be a single person for the purpose of Rule 8.3. |
