Result of General Meeting

The Company is pleased to announce that the Special Resolution proposed at
today's General Meeting was passed on a show of hands.

Special Resolution:

To authorise the Company to make market purchases of Ordinary Shares of 25p
each in the capital of the Company pursuant to the Tender Offer on the terms
set out in the circular to Shareholders dated 18 February 2014.

The proxy votes received in relation to the above resolution were as follows:
