Reed Health Group Plc ("Reed Health Group" or the "Company")

Result of AGM


At the Annual General Meeting of Reed Health Group held today, the proposed
resolutions to re-appoint Christa Echtle and Desmond Doyle, respectively chief
executive and finance director of the Company, to the board of the Company were
defeated by shareholders voting on a poll. As a consequence, Christa Echtle and
Desmond Doyle have ceased to be directors of the Company with immediate effect.

In addition, the proposed resolutions 10, 12 and 13 were also not approved by
shareholders. These resolutions were proposed in order to i) allow the directors
to allot relevant securities up to an aggregate amount of #395,000 in accordance
with section 80 of the Companies Act 1985, ii) disapply the statutory
pre-emption rights contained in section 89 of the Companies Act  and iii)
authorise the Company to make market purchases of ordinary shares.

All the other resolutions proposed at the AGM were duly approved by
shareholders.

The remaining directors of the Company are considering the options available to
the Company at this time and a further announcement will be made in due course.
