                              Notifiable Interest


The Company was notified on 23 April 2002 by Parkwood Group Trustees Limited
that its notifiable interest had increased by 200,000 Ordinary Shares of 1p each
("Ordinary Shares") representing 1.02per cent. of the Company's total issued
ordinary share capital to 935,625 Ordinary Shares representing 4.77 per cent. of
the Company's total issued ordinary share capital. This follows a purchase of
200,000 Ordinary Shares at 64.5 p each on 23 April 2002.


Parkwood Group Trustees Limited acts as the trustee for the Employee Benefit
Trust. The beneficiaries of the Employee Benefit Trust include the directors of
the Company who therefore have an interest in the Employee Benefit Trust.
