The capital of the Company consists of 17,848,758 Ordinary Shares with a nominal 
value of 1 pence each, with voting rights. 
 
The Company does not hold any Ordinary Shares in Treasury. 
 
Therefore, the total number of voting rights in Octopus VCT 2 plc is 17,848,758 
 
The  figure of 17,848,758 may be used by shareholders as the denominator for the 
calculations  by which they will determine if  they are required to notify their 
interest in, or a change to their interest in, Octopus VCT 2 plc under the FSA's 
Disclosure and Transparency Rules.
