                          Statement re Possible Offer

The board note the recent speculation regarding a possible offer by Zyzygy plc
(the "Company") for the issued share capital of OFEX Holdings plc. The Company
confirms that it is considering the possibility of making an offer. It is
emphasised that these deliberations are at a very early stage and that there is
no certainty that an offer for OFEX Holdings plc will result.

In accordance with Rule 2.10 of the City Code of Takeovers and Mergers, the
Company confirms that it currently has 302,229,294 ordinary shares of 0.1p each
in issue. The Company's ISIN number is GB0009585182.
