On 19 May 2000, the Trustees of the Norwich Union Long Term Incentive Plan
("LTIP"), HSBC Trustees (Jersey) Limited subscribed for 900,000 shares to meet
contingent liabilities for awards made to participants in the scheme which
will vest following the change of control of Norwich Union plc.

Richard Harvey, Michael Biggs, Philip Scott, Patrick Snowball and Tom Fraser
(who are directors of Norwich Union plc) have previously had awards granted
which remain unchanged.
