 Norwich Union shareholders approve proposed merger of Norwich
                           Union plc
             ("Norwich Union") and CGU plc ("CGU")

At the Norwich Union shareholder meetings held today, Norwich
Union shareholders approved the scheme of arrangement to
implement the proposed merger of Norwich Union and CGU.

A further announcement providing details of the votes cast at
the Norwich Union shareholder meetings will be issued as soon
as practicable.

Norwich Union shareholders also approved the ordinary
resolution to declare the final dividend of 9.35 pence per
share in respect of the year ended 31 December 1999.  This
will be paid on 14 June 2000 to those Norwich Union
shareholders on the register on 14 April 2000.

Subject to the approval of CGU shareholders at a meeting to be
held later today, the sanction of the Court and regulatory
approvals, it is expected that the merger will become
effective by early June 2000.

Commenting on the result of the meetings, George Paul,
chairman of Norwich Union said:  "We are delighted to have
gained approval for the merger from our shareholders and I
thank them most warmly for their support.  We are excited by
the opportunities which lie ahead for CGNU and are confident
that our shareholders will benefit from them."
