Caixa Catalunya ("Caixa") and Norwich Union plc ("Norwich Union")

Caixa and Norwich Union have entered into exclusive negotiations with the aim of
forming a wide-ranging alliance covering all the insurance activities currently
carried on by Caixa.  The alliance would result in Norwich Union assuming
management control of and acquiring substantial shareholdings in Caixa's
existing insurance subsidiaries ASCAT (long-term savings and life assurance) and
MNA (general insurance).  Under the proposed alliance, each of these companies
would have exclusive distribution rights to sell via Caixa's branch network.
