Disclosure on Plans to Purchase its Own Bonds 
 
 
The Company's Board of Directors approved a plan to purchase its own bonds up to 
a budget of Euro 2M (in addition to the amounts already approved), with a 
minimal profit of 35%. 
 
 
The details of the purchase plan are set out below as follows: 
 
 
The Company will purchase the bonds, via the Tel Aviv Stock Exchange or outside 
the market, according to management discretion, in accordance and subject to the 
required regulations. 
 
 
The Company is allowed to purchase the bonds from time to time, on certain 
occasions, at prices and in amounts according with management's discretion, from 
this date until any other future decision is reached by the Board. 
 
 
The Board believes that the transaction of the Company's own bonds will lead to 
improvement in the profits of the Company and increase its financial robustness. 
It will also improve its financials and debt structure. In the current market 
conditions, transaction in its own bonds, will, according to the Board, present 
a beneficial economic and business opportunity. 
 
 
The Company expects that the transaction of its own bonds on its financial 
reports, (including the tax implication of the books and purchase tax, in a 
price that is lower than its issue price, 
will decrease the Company's liability to the bonds holders. 
 
 
The bonds purchased are and will be financed by the Company's own financial 
recourses, according to necessity. 
 
 
The Company hereby declares that there is nothing in the Board's decision to 
commit the Company to purchase the bonds. The Company's management will reserve 
the right to decide not to purchase the bonds at all, or to purchase a lower 
financial value than was approved. 
 
 
The Company will report on the transaction as required by law.
