Board and management changes

Matrix Communications Group plc, the information technology and communications
services business, is streamlining and shifting the composition of the Board to
reflect the changing nature of the Group and its strategy.  Furthermore,
managerial reporting lines are also being shortened following the disposal of
the hardware business Equip Technology on 2 February 2006.

Group Finance Director, Chris Lee and Executive Director for Integration, David
Grant have both resigned with immediate effect.

Non executive Directors Michael Frank (Chairman of the Audit Committee) and
Matthew Darling (Chairman of the Remuneration Committee) are stepping down from
the Board at the conclusion of the Annual General Meeting.

On 2 February 2006, Tony Weaver, the Chief Operating Officer, took over direct
responsibility for the operations of the Group's core unit, the Integration
business and Network Partners.

The Board is well advanced in its search for a new Group Finance Director and
will report to shareholders on this crucial appointment in due course.

Ric Piper, who was appointed non-executive Deputy Chairman in June 2005, takes
Board responsibility, with immediate effect, for the Group's finances until a
new Group Finance Director joins. Mike Lacey (the current Finance Director of
Network Partners), will take additional responsibility for the finance
operations of Integration and Fujin and report directly to Ric.
