| The Company announces that Mr. Andrew McCusker, currently |
| Operations Director, will retire from that position and as a |
| Member of the Executive Directorate, effective from 1 January |
| 2011. |
| Dr. Kam Chak-pui (also known as Dr. Jacob Kam), currently Chief of |
| Operations Engineering, will be appointed as Operations Director |
| and will become a Member of the Executive Directorate, both with |
| effect from 1 January 2011. |
| To ensure a smooth transition, Dr. Kam will be appointed as Deputy |
| Operations Director on 1 July 2010. |

| The Company announces that Mr. Andrew McCusker, currently |
| Operations Director, will retire from that position and as a |
| Member of the Executive Directorate, effective from 1 January |
| 2011. |
| Mr. McCusker joined the Company in 1987 and was appointed as |
| Operations Director in 2005. Over the years, Mr. McCusker has |
| significantly improved the Company's rail operations performance |
| standards and productivity, with strengthened customer focus. |
| Under Mr. McCusker's leadership, seamless operations integration |
| was achieved after the merger of the rail operations of the |
| Company and Kowloon-Canton Railway Corporation. He has also been |
| active in fostering a learning and development culture within the |
| Operations Division. The Company would like to thank Mr. McCusker |
| for his very significant contribution in the past 22 years. |
| There is no matter relating to Mr. McCusker ceasing to be |
| Operations Director and a Member of the Executive Directorate that |
| needs to be brought to the attention of the holders of securities |
| of the Company. |
| The Company also announces that with effect from 1 January 2011, |
| Dr. Kam Chak-pui (also known as Dr. Jacob Kam), currently Chief of |
| Operations Engineering, will be appointed as Operations Director |
| and will become a Member of the Executive Directorate. |
| To ensure a smooth transition, Dr. Kam will be appointed as Deputy |
| Operations Director on 1 July 2010. |
| Dr. Kam, aged 48, joined the Company as Safety Programme Manager |
| in 1995. During his 15 years of service, he gained both technical |
| and business experience through taking up different managerial |
| positions in Operations, Projects and China & International |
| Business Divisions. These included System Assurance Manager, |
| Safety and Quality Manager, Infrastructure Manager, Operations |
| Manager for the Airport Railway, General Manager - Shenzhen Line |
| 4, and his current post as Chief of Operations Engineering since |
| 2007. |
| Dr. Kam holds a Bachelor of Science degree in Civil Engineering |
| from the University of Southampton, United Kingdom and a doctoral |
| degree in Mechanical Engineering (University College London) from |
| the University of London, United Kingdom. He also attended the |
| Wharton Advanced Management Programme at the University of |
| Pennsylvania, U.S.A. in 2005. Dr. Kam qualified as a Chartered |
| Engineer in the United Kingdom in 1989. He is a Member of both |
| the Institution of Mechanical Engineers, United Kingdom, and The |
| Hong Kong Institution of Engineers. He is also a Chartered Fellow |
| of the Institution of Occupational Safety and Health, United |
| Kingdom. |
| A further announcement on other details regarding Dr. Kam as |
| required by the Rules Governing the Listing of Securities on The |
| Stock Exchange of Hong Kong Limited will be made on or before 1 |
| January 2011, the day with effect from which Dr. Kam will be |
| appointed as Operations Director and will become a Member of the |
| Executive Directorate. |
