                         ("the Group" or "the Company")

   New Board Structure to support the future strategic direction of the Group


As part of the Group's on-going review of its operations, the Board has decided
that the business will in future report as three divisions:

   *Engineering Support Services;
   *Automotive and Engineering; and
   *Housewares

The Directors believe that this increased focus will enable opportunities for
further operational efficiencies to be pursued, both organically and through
selective acquisitions.

As a result, the PLC Board is to be re-structured with immediate effect into:
the PLC Board and an Operational Board. This will allow the current Operational
Executive Directors to focus on the future strategic objectives within their
respective operations whilst freeing the PLC Board to undertake and focus on
strategic and oversight responsibilities.

Main Board Changes:
William Kelly, FCA joins the PLC board as group finance director and company
secretary, with immediate effect. Prior to joining the group, he held a number
of senior appointments, most recently as finance director with James Beattie PLC
until it was acquired by House of Fraser.

Hedley Brook-Carter, Jeffery Edwards, Garry Gresham, and Darren Farrimond
relinquish their responsibilities as main board directors, continuing with their
executive responsibilities as divisional directors for engineering support
services; automotive and engineering, housewares and financial controller
respectively.

As the group announced in January 2006, it added to its non-executive team
through the appointment of Andrew Pearson. He has brought strong financial
advisory skills gained from his previous career within the accountancy
profession.

Commenting on these changes, Chairman, John Crabtree said:

"On behalf of the board, shareholders and employees, I would like to thank Jeff,
Garry, Hedley and Darren for their contribution to the board over the last few
years and we look forward to working closely with them in their continuing
operational roles.

"I would also like to welcome Bill Kelly to the group - his knowledge and wise
counsel will benefit the business as we move forward with our strategic plan.

"Over the last year, we have implemented the decisions made following a
strategic review in 2004 and had to react and adapt quickly to the rapidly
changing environments we encountered. The strategic plan is regularly reviewed
and is proceeding to programme. The divisional directors each have a key role in
implementing the plan and this new structure will enable them to completely
focus on delivering it."
