Directors' compensation will be paid out in stock until such time as a Director
owns 5 times his annual retainer in March Networks stock. Once a Director owns 5
times his annual retainer in March Networks stock, each Director has the option
to be paid in stock or cash. Compensation is to be paid out quarterly commencing
upon election at the annual general meeting of shareholders. Accordingly,
payments are or will be calculated on the following dates: October 5, 2005,
January 5, 2006, April 5, 2006 and July 5, 2006.
