                Management Consulting Group PLC ("the Company")

                            DIRECTOR SHARE PURCHASE

The Company was notified on 31 March 2004 that Baroness Cohenof Pimlico, a
non-executive director of the Company, had, on the same day, purchased 18,000
Ordinary Shares of 25p each in the Company at a price of 39.75 pence per share
and that her husband, Mr James Cohen, had purchased the same number of shares at
the same price.  The aggregate purchase of 36,000 shares represents Baroness
Cohen's entire interest in the Company's issued ordinary share capital and
represents 0.019 per cent. of the Company's current total issued ordinary share
capital.
