Application has been made for 88,603 ordinary shares of 25p each in the Company
("Ordinary Shares") to be admitted to the Official List of the UK Listing
Authority and to trading on the London Stock Exchange.  The Ordinary Shares are
being issued pursuant to the exercise of options under the Company's Alexander
Proudfoot Executive Stock Option Plan and Proudfoot PLC Executive Share Option
Scheme. Admission is expected to become effective on 5 December 2002
