Management Consulting Group PLC ("the Company")

Voting Rights and Share Capital

In conformity with rule 5.6.1 of the FSA's Disclosure and Transparency Rules and
further to the Company's announcement made on 20 December 2006, the Company's
issued share capital now consists of 270,991,638 ordinary shares of 25 pence
each, with voting rights. The Company holds no shares in Treasury.

The increase results from the issue of shares to meet the exercise of options
under the Company's employee share option schemes.

The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Management Consulting Group
PLC under the FSA's Disclosure and Transparency Rules.
