    On 21 November 2008, conditional rights over Mouchel Group plc ("Company") ordinary shares were awarded to the following participants
under the Mouchel Group Performance Share Plan ("PSP"):

    The awards were made in the form of nil-cost options, the vesting of which is conditional on the Company's relative Total Shareholder
Return ("TSR") from 1 August 2008 to 31 July 2011 ("the performance period"), measured against companies listed in the FTSE Support Services
Sector and the participants' continued employment within the Group on exercise.  25% of the awards will vest if the Company's TSR ranks
within the median of the comparator group, with full vesting for performance at or above the upper quartile. Between these points, awards
will vest on a pro-rata basis. In addition, in order for shares to vest, the Company's Adjusted Earnings Per share must exceed the growth in
the Retail Price Index by an average of at least 3% per annum over the performance period.

    The awards will become exercisable on the later of the third anniversary of the Award Date and the Remuneration Committee determining
the extent to which the Performance Conditions have been satisfied.  Further information on the PSP can be found in the Company's Report and
