Luminar Group Holdings plc

Luminar Group Holdings plc ("Luminar") is pleased to announce that the 
reorganisation of Luminar by way of a scheme of arrangement under section 425 of 
the Companies Act 1985 between Luminar and its shareholders involving the 
introduction of a new holding company, Luminar Group Holdings plc, has today 
become effective.

Accordingly, 61,578,804 New Ordinary Shares of 600 pence each and 3,580,369 New
Luminar Warrants were admitted to the Official List and to trading on the London
Stock Exchange at 8.00 a.m. today.

Defined terms used in this announcement have the same meanings as in the scheme
circular posted to Luminar shareholders on 4 September 2007.
