        RESULT OF THE ANNUAL GENERAL MEETING AND DIRECTORS TRANSACTIONS

Libertas Capital Group plc (AIM: LBR), the financial services firm, announces
that the Annual General Meeting was held today and all resolutions were passed
unanimously.

The Company has been informed that Michael Naylor, a Non Executive Director,
purchased on 4th May 1,631 shares at 60p, representing 0.004% of the issued
share capital.

The Company has granted, under an Unapproved Share Option Scheme, options over
1,042,500 shares at 19p to Roger Barlow, Executive Director and Chief Financial
Officer, to be exercised at any time during the period to 31 December 2008.
Disclosure of this award, in principle, was made in the 2005 Annual Report.
