Regulatory Announcement

The total number of common shares with a par value of $0.001 each of Kofax Limited ("the Company") in issue as of December 31, 2013 is 97,121,419.

There are 5,068,374 common shares held in treasury, and therefore the total number of common shares with voting rights in the Company is 92,053,045.

The above figure of 92,053,045 common shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.
