NOTIFICATION OF TRANSACTION BY A DIRECTOR/PERSON DISCHARGING MANAGERIAL RESPONSIBILITY

The Company was notified on 9 May 2016 that on 9 May 2016, the following persons discharging managerial responsibility ("PDMR") exercised options over Ordinary Shares of 5 pence each in the Company ("Shares") under the Company's Long Term Incentive Plan and Deferred Bonus Share Plan at an option price of nil pence per Share and sold a number of the resulting Shares at the price shown below, mainly to cover the tax and social security due upon exercise of the option. The options are over existing Shares in issue held by the Jardine Lloyd Thompson Group plc Employee Share Trust.
