  Copies of the documents below have been submitted to, and approved by, the UK Listing Authority: 


 




  (i) A Prospectus (comprising of Securities Note, Share Registration Document and Summary) regarding offers for subscription ("the Offers") of up to, in aggregate, 10,000,000 E ordinary shares of 1p each ("E Shares") comprising up to 5,000,000 E Shares in the share capitals of each of Ingenious Entertainment VCT 1 plc and Ingenious Entertainment VCT 2 plc at an offer price of 100p per E Share and 10,000,000 F ordinary shares of 1p each ("F Shares") comprising up to 5,000,000 F Shares in the share capitals of each of Ingenious Entertainment VCT 1 plc and Ingenious Entertainment VCT 2 plc at an offer price of 100p per F Share, together with an over-allotment facility of up to, in aggregate, a further 5,000,000 E Shares comprising up to 2,500,000 E Shares in the share capitals of each of Ingenious Entertainment VCT 1 plc and Ingenious Entertainment VCT 2 plc at an offer price of 100p per E Share and 5,000,000 F Shares comprising up to 2,500,000 F Shares in the share capitals of each of Ingenious Entertainment VCT 1 plc and Ingenious Entertainment VCT 2 plc at an offer price of 100p per F Share. 


 




  (ii) A Circular to shareholders of Ingenious Entertainment VCT 1 plc and Ingenious Entertainment VCT 2 plc in connection with the Offers and amendments to their Articles of Association. 


 




  The Offers for subscriptions opened at 8 am on 8 October 2010 and are expected to close no later than 3pm on 5 April 2011, unless previously extended.
