             The Hartstone Group PLC ("Hartstone" or "the Company")

         Conversion of Preference Shares and Application for Admission



The Company announces that, pursuant to a conversion of 345, 8% (net) cumulative
convertible redeemable preference shares of 10 pence each, the board of
Hartstone has allotted 3,450 new ordinary shares of 1 pence each in the Company
(" New Ordinary Shares"). Application for listing to the Official List of the
New Ordinary Shares has been made to the UK Listing Authority and for admission
to trading on the London Stock Exchange. Such listing and admission are expected
to become effective on 20th August 2002.
