Further  to  the  announcement  on  15 October  2010 relating  to the offer from 
Sumitomo  Heavy Industries for Hansen Industrial Transmissions NV (the "Proposed 
Transaction"),  Hansen Transmissions International NV  (LSE ticker HSN) ("Hansen 
Transmissions") today announces that, following the successful completion of its 
Employee  Information  and  Consultation  Procedure  as announced on 10 December 
2010, it  has entered into a  sale and purchase agreement  ("SPA") in respect of 
the Proposed Transaction. 
 
The Proposed Transaction is a Class 1 transaction for Hansen Transmissions under 
the  UK Listing  Rules and  is therefore  conditional upon shareholder approval. 
Hansen  Transmissions expects to  post the circular  to its shareholders towards 
the  end of January 2011 and  to convene a general  meeting at which an ordinary 
resolution  will be  proposed to  approve the  Proposed Transaction. The general 
meeting is expected to be held towards the end of February 2011. 
 
Subject  to shareholder approval being received  and the other conditions of the 
SPA  being satisfied, the  Proposed Transaction is  expected to close before the 
end of Hansen Transmissions' current fiscal year (31 March 2011).
