                                 BOARD CHANGES


On 31 March 2005, Honeywell Acquisitions Limited (the "Offeror") announced that
the recommended cash offers for the entire issued and to be issued ordinary
share capital and for the entire issued and to be issued preference share
capital of Novar plc ("Novar") made on 10 January 2005 by JPMorgan plc on behalf
of the Offeror had been declared unconditional in all respects.

Novar announces that Bob Baker, Roger Fradin, John J. Tus, Anne Madden and
George Van Kula have joined the board of Novar as non-executive directors.

Other than the matters referred to below, there are no further details requiring
disclosure in respect of Messrs. Baker, Fradin, Tus,Van Kula and Ms. Madden
under paragraphs 16.4(a) and 16.4(b) of the Listing Rules of the UK Listing
Authority in connection with those appointments.

Mr Fradin is currently a director of MSC Industrial Direct (a company listed on
the New York Stock Exchange).

Sir Graham Hearne, Hans Nilsson, Oliver Stocken, Sir Geoffrey Whalen, Stephen
Howard, Mike McKeon and Daniel Dayan have resigned from the Novar board.
