                             DEALINGS BY DIRECTORS
                               AND EX-DIRECTORS

Further  to the director's and previous directors exercising their options  in
HACAS Group Plc ("HACAS") the following transactions have occurred:

Derek  Joseph  has sold 397,600 ordinary shares to employees, 42,879  ordinary
shares  to  Julian  Ashby (chairman of HACAS) and 26,380  ordinary  shares  to
Jeffrey Zitron (an executive director of HACAS).  Mr Joseph's holding in HACAS
is  now  6,310,346 ordinary shares representing approximately 24.85% of HACAS'
enlarged  share  capital.   Mr  Ashby's holding  has  increased  to  6,196,725
ordinary  shares  representing approximately 24.41% of HACAS'  enlarged  share
capital.   Mr  Zitron's  holding has increased to  6,196,726  ordinary  shares
representing approximately 24.41% of HACAS' enlarged share capital.

Richard  Wollenberg,  a non-executive director has taken up  100,578  ordinary
shares resulting from the exercise of some of his options.  His holding is now
746,768  ordinary shares representing approximately 2.94% of  HACAS'  enlarged
share  capital.   In  addition  Mr Wollenberg  holds  options  over  1,300,000
ordinary shares exercisable at 25p until 20 September 2001.  Mr Wollenberg may
only  exercise these options in the next 12 months with the permission of  the
board.

Ian  Reynolds,  an  ex-director of HACAS Group Plc has sold  768,719  ordinary
shares and taken up 165,000 ordinary shares resulting from the exercise of all
his  options.   His  holding  is  now  645,000  ordinary  shares  representing
approximately 2.54% of HACAS' enlarged share capital.

Tony  Shakesby,  an ex-director of HACAS Group Plc has sold  340,000  ordinary
shares and taken up 126,859 ordinary shares resulting from the exercise of all
his  options.   His  holding  is  now  134,869  ordinary  shares  representing
approximately 0.53% of HACAS' enlarged share capital.
