Nighthawk, the US focused shale oil development and production company (AIM: HAWK and OTCQX: NHEGY), is today posting a Shareholder Circular in connection with the Settlement Agreement with Running Foxes Petroleum, Inc. ("RFP") and proposed purchase of 102,236,422 Ordinary Shares from RFP, as previously announced by the Company yesterday, 9 October 2012.

The Shareholder Circular also contains a Notice of General Meeting ("GM") to be held at FTI Consulting Limited, Holborn Gate, 26 Southampton Buildings, London WC2A 1PB on Friday 26 October 2012 at 11.00 a.m.

The Shareholder Circular (containing the Notice of GM and Form of Proxy) will be available for download from the Company's website www.nighthawkenergy.com
