Publication of Circular and Notice of EGM

FBD Holdings plc ("FBD" or the "Company") announces that it has today published a circular ("Circular") and Notice of an Extraordinary General Meeting ("EGM"). The Circular sets out details of a proposed grant of authority to allot shares and disapplication of pre-emption rights related to amendments to the subordinated bond which was issued by FBD Insurance plc on 23 September 2015 pursuant to the Company's announcement of a EUR70 million capital investment on 16 September 2015. These amendments are necessary to give effect to the convertible terms agreed with Fairfax Financial Holdings Limited under which the bond may be converted into ordinary shares in FBD in the future.

The EGM has been convened for 11 a.m. on 30 December 2015 at The Irish Farm Centre, Old Naas Road, Bluebell, Dublin 12, Ireland.

Copies of the Circular will be submitted to the Irish Stock Exchange and the UK National Storage Mechanism. The Circular, including Notice of the EGM, will therefore shortly be available for inspection at www.morningstar.co.uk/uk/NSM and on the Company's website http://www.fbdgroup.com/.
