Expomedia Group plc Acquires Remaining 33.3% Interest in
Warsaw International Exhibition Centre Sp.z.o.o.


Expocentres Poland Limited, a wholly-owned subsidiary of Expomedia Group plc 
("Expomedia"), has entered into an agreement ("Agreement") with Chikoho 
Sp.z.o.o. ("Chikoho") to acquire the remaining 33.3% interest in the Warsaw 
International Exhibition Centre Sp.z.o.o. ("WIEC") that it did not already own 
thereby consolidating its ownership for a consideration of USD 2.3 million in 
cash.

WIEC has developed and owns and operates a modern exhibition centre located
close to the centre of Warsaw, Poland's political and economic heart, at a total
development cost of €14.5 million.  In the year ended 31 December 2000, WIEC
made a loss before tax of approximately €0.28 million and at 30 June 2001, its
net assets stood at approximately €1.17 million at which point Expomedia's
investment in WIEC was approximately €8.0 million as debt. This has since been
converted into equity and, on this basis, WIEC's pro forma net assets at 30 June
2001 would have been approximately €9.2 million.  Warsaw International
Expocentre has since opened in August 2001 and since then has made a positive
contribution.

Mr Janusz Pacewicz, President of and a former director of WIEC, is a director of
and controls Chikoho.  The directors of Expomedia, having consulted with
Ermgassen & Co Limited, Expomedia's Nominated Adviser for the purposes of the
AIM Rules, consider that the terms of the transaction are fair and reasonable
insofar as the holders of Expomedia's ordinary shares are concerned.

As part of the Agreement, Rodemadan Holdings Limited ("RHL"), a company
controlled by a trust associated with Roger Shashoua and Mark Shashoua, Chairman
and CEO of Expomedia respectively, has agreed to sell its 49.99% interest in
Royal Business Apartment Centre Sp.z.o.o., an office construction company based
in Warsaw, to Chikoho for a total consideration of USD 1.6 million in cash.
Although the separate transaction entered in to between RHL and Chikoho is not
connected in any way to Expomedia, the directors of Expomedia believe that it
facilitated the entering into of the agreement at a consideration of USD 2.3
million.

Commenting on the acquisition Roger Shashoua, Chairman, stated:

"The directors of Expomedia believe that the acquisition of the 33.3% interest
in WIEC that Expomedia did not already own, combined with the increased
commitment to Expomedia of ABN Amro Capital and Stancroft Trust Limited
announced on 22 January 2002, demonstrate that we are continuing the commitments
that we made to our shareholders last year upon flotation and further
consolidating upon Expomedia's market position in Poland.  We would like to
thank Mr Janusz Pacewicz for his assistance in constructing the Warsaw
Exhibition Centre."
